The ground rules for using Triallo’s website, content, and services.

These Terms and Conditions govern your access to and use of the Triallo website and any related digital services, communications, content, proposals, and deliverables that reference these terms, unless a separate written agreement applies.

By accessing or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions. If you do not agree, you should not access or use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

Words with capitalized initials have meanings defined under the following conditions. Those definitions apply whether the terms appear in singular or plural form.

• Company, We, Us, or Our means TRIALLO FZ-LLC, Compass building - Al Hulaila.
• Service means the Triallo website, related digital tools, communications, and any service materials made available by the Company.
• User, You, or Your means any individual or entity accessing or using the Service.
• Content means text, graphics, documents, proposals, campaign assets, videos, images, data, reports, downloads, and other materials made available through the Service.
• Client Materials means information, logos, assets, documents, campaign files, credentials, and other content You submit to Us or authorize Us to use.

You may use the Service only for lawful purposes and in accordance with these Terms and Conditions.

You agree not to:

• Use the Service in any way that violates applicable law, regulation, or third-party rights.
• Attempt to gain unauthorized access to any part of the Service, servers, accounts, or connected systems.
• Interfere with or disrupt the integrity, performance, or security of the Service.
• Copy, scrape, reproduce, republish, or exploit Our Content except where explicitly permitted in writing.
• Misrepresent Your identity, affiliation, or authority when interacting with Us or using the Service.

We may suspend or restrict access where We reasonably believe that misuse, abuse, fraud, or unlawful conduct has occurred.

Website use alone does not create a client relationship. A commercial engagement with Triallo generally begins only when both parties agree to a proposal, statement of work, service order, invoice, or other written commercial document.

Where a separate written agreement exists between You and the Company, that agreement will control in the event of any conflict with these Terms and Conditions.

Unless otherwise stated in a written agreement:

• Fees, retainers, media budgets, and implementation costs are exclusive of taxes, duties, and third-party platform charges.
• Payment obligations are due according to the invoice or proposal terms provided to You.
• Delayed payments may result in project pauses, access restrictions, delayed delivery, or suspension of ongoing services.
• Timelines depend on timely access, approvals, and cooperation from You and relevant third parties.

The Service and its original Content, features, branding, structure, and presentation are and will remain the exclusive property of the Company or its licensors, except where otherwise agreed in writing.

Nothing in these Terms transfers ownership of the Company's intellectual property to You.

By providing Client Materials, You represent that You own them or have the necessary rights, licenses, permissions, and authority to allow Us to use them for the purpose of performing the requested services.

Unless otherwise stated in a written agreement:

• Triallo retains ownership of its pre-existing frameworks, methods, templates, know-how, scripts, internal systems, and tools.
• Third-party software, ad platforms, stock assets, plugins, fonts, and licensed tools remain subject to their own license terms.
• Client deliverables may depend on third-party services or accounts, and continued access may require those services to remain active and in good standing.

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, except where such disclaimers are not permitted by applicable law.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or suitable for every business objective. Marketing, advertising, SEO, and conversion outcomes depend on many external factors outside Our control, including platforms, market conditions, competition, budgets, compliance requirements, and Your internal execution.

To the fullest extent permitted by applicable law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings.

To the fullest extent permitted by applicable law, the total liability of the Company arising out of or relating to the Service or these Terms and Conditions will not exceed the amount actually paid by You to the Company for the specific Service giving rise to the claim during the twelve months immediately preceding the event giving rise to liability, or USD 100 if no paid engagement exists.

Termination

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason including where You breach these Terms and Conditions or where continued access presents legal, security, or operational risk.

Links to Other Websites

The Service may contain links to third-party websites or services that are not owned or controlled by the Company. We assume no responsibility for the content, terms, privacy practices, or availability of any third-party sites or services.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles, unless a different governing law is expressly stated in a signed agreement between the parties.

Severability and Waiver

If any provision of these Terms and Conditions is held to be unenforceable, the remaining provisions will remain in full force and effect. A failure by the Company to enforce any right or provision under these terms will not constitute a waiver of that right or provision.

Changes to These Terms

We may revise these Terms and Conditions from time to time. When We do, We will post the updated version on this page and revise the "Last updated" date above. Continued use of the Service after changes become effective means You accept the revised terms.
